Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "User," or "you") and Kristina D. Meyers LLC, operating as Syntax Automations ("Company," "we," "us," or "our").

By accessing our website at syntaxautomations.com, booking a consultation, or purchasing any automation systems, consulting services, or custom infrastructure, you agree to be bound by these Terms. If you do not agree to all of these Terms, you are expressly prohibited from using our website and services.

Syntax Automations provides custom business process automation engineering, system integration (including n8n, ServiceTitan, Jobber, Housecall Pro, QuickBooks, Make, and API webhooks), and operational strategy consulting.

Specific project scopes, deliverables, timelines, and flat-fee pricing arrangements are defined in individual Master Services Agreements (MSAs), Statements of Work (SOWs), or project blueprints executed between you and the Company.

We operate on a client-owned infrastructure model. Unless explicitly agreed otherwise in a separate written agreement:

• ▪All custom workflow deployments, n8n instances, webhooks, and automation pipelines will be built directly under your accounts and hosted infrastructure.
• ▪Upon final payment of agreed fees, you retain 100% ownership and control over the deployed workflow configurations and data pipelines.
• ▪You are solely responsible for maintaining active subscriptions, API credentials, and billing compliance with third-party software vendors (e.g., ServiceTitan, OpenAI, Twilio, Jobber).

Turnkey automation packages and custom engineering projects are billed on a flat-fee basis as outlined at the time of engagement.

• ▪Deposit Requirements: Work commences upon receipt of the initial deposit specified in your project agreement.
• ▪No Monthly Software Markups: Syntax Automations does not charge recurring SaaS markups for the custom workflows we deploy to your accounts.
• ▪Refunds: Due to the custom, labor-intensive nature of software engineering and workflow architecture, fees paid are non-refundable once work on a milestone has commenced.

Our automations rely on third-party Application Programming Interfaces (APIs), webhooks, and external platforms. You acknowledge and agree that:

• ▪Syntax Automations is not responsible for service outages, rate limits, API deprecations, or policy changes enacted by third-party vendors (e.g., ServiceTitan, Twilio, OpenAI, Meta).
• ▪Any third-party API changes that break established workflows after handover may require a separate maintenance agreement or scope update to resolve.

The website content, branding, visual design, logo, and pre-existing code frameworks owned by Kristina D. Meyers LLC remain our exclusive intellectual property.

Upon receipt of full payment, you are granted a perpetual, non-exclusive, non-transferable license to execute, modify, and operate the specific custom scripts and workflow blueprints created for your organization.

To the maximum extent permitted by applicable law:

In no event shall Kristina D. Meyers LLC, its officers, or contractors be liable for any indirect, incidental, consequential, special, or punitive damages—including loss of profits, revenue, data, or operational downtime—arising out of or connected to your use of our services, website, or deployed automations.

Our total aggregate liability for any claim arising out of these Terms or our services shall not exceed the total amount actually paid by you to the Company in the three (3) months preceding the event giving rise to the claim.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware (or the corporate domicile of Kristina D. Meyers LLC), without regard to its conflict of law principles.
